Terms of Service – EXOGN: SEO Agency

These Terms of Service (“Agreement”) govern the use of services provided by EXOGN : Agence SEO, operating under the name EXOGN: SEO Agency for English-speaking markets. By signing a quote, contract, or using our services, you agree to the terms below.

2. Scope of Services

We offer SEO consulting, local SEO services, website creation, content optimization, and online training courses. Detailed service descriptions are available at https://exogn.com/seo-services.

3. Legal Jurisdiction

This Agreement is governed by French law. Any disputes shall be settled in the competent courts of Paris, France, unless otherwise required by consumer law.

4. Payment Terms

  • A signed quote or contract is binding.
  • No work shall begin until the deposit or full payment is received.
  • All prices are in USD or EUR, depending on the client’s country.
  • Ownership of deliverables remains with EXOGN until full payment is received.
  • Invoices are generated via Freebe.me; PDF copies are provided.

5. Refund Policy

  • No refunds are offered on digital products, consulting services, or ongoing services.
  • Refunds are only considered if a legal obligation applies.

6. Delivery & Delays

Delivery times are indicative, not binding. EXOGN shall not be held responsible for delays caused by:

  • Client failure to pay on time
  • Lack of required information, files, or approvals
  • Client-requested pauses or changes during the project
  • External platform issues (e.g., Google Business Profile verification delays)

7. Client Obligations

The client agrees to:

  • Provide necessary materials, information, and access in a timely manner
  • Avoid editing the Google Business Profile or website during service delivery
  • Inform EXOGN of any changes to company name, address, or ownership structure
  • Respect deadlines and review periods for deliverables

8. Protection Clauses

In the event of:

  • A signed quote but no payment: the project is suspended, and EXOGN is entitled to compensation
  • Failure to provide requested content or access: delays are not EXOGN’s responsibility
  • Client modifications to Google Business Profile causing suspension: EXOGN must be compensated
  • Unilateral pause or cancellation after contract signature: fees remain due, with no refund

9. Do-Follow Link Clause (Web Design Clients Only)

All websites delivered by EXOGN must include a do-follow link in the footer to:

  • https://exogn.fr for French-language websites
  • https://exogn.com for English-language websites

    Any exception must be explicitly requested and approved in writing.

10. Client Guarantee (Commercial Clause)

We guarantee 2 new clients in 90 days for Google Profile or Website packages, and 10 clients for the Premium plan (quarterly subscriptions only). If not met, we continue working 3 extra months for free. This is a commercial guarantee, not a legal commitment.

11. Project Validation

A delivery validation form is required to close each project. The client shall review and approve or request final corrections within 5 working days. No response is considered as tacit approval.

12. Non-Solicitation Clause

For 12 months after project delivery, the client agrees not to hire, solicit, or work directly with any subcontractors, employees, or collaborators introduced by EXOGN.

13. Intellectual Property

All intellectual property created by EXOGN remains our property until full payment is made. After payment, the client receives a non-exclusive, non-transferable license to use the materials delivered.

14. Affiliate Disclosure

Some links on our site or communications may be affiliate links. We may earn commissions when you click them. This has no impact on the final price you pay.

15. Disclaimer

SEO results vary depending on market, competition, and algorithm changes. While we follow best practices, no ranking, traffic, or revenue is guaranteed. We are not liable for algorithm updates or third-party platform decisions (e.g., Google suspensions).

16. Limitation of Liability

EXOGN shall not be liable for:

  • Business interruption, revenue loss, or data loss
  • Service unavailability due to third-party platforms or tools
  • Client misuse of deliverables or instructions

Our total liability is limited to the amount paid by the client for the specific service rendered.

17. Modifications

We may update these Terms from time to time. The latest version is always available on our website. By continuing to use our services, you agree to the most recent version.
